Directors and officers policies as mediators between corporate social responsibility and the eradication of legal conflicts


Abstract:

The legal conflicts originate in the companies in the development of their activities, for not complying with the national and international legal system, generating the imposition of pecuniary-type sanctions, which impact the finances of the organization. Avoiding conflicts is part of the work of managers. For its part, corporate social responsibility obliges companies, beyond what is required by law and the economy. This article analyzes the legal risks of Ecuadorian companies, proposing D&O policies, as a possible solution to these risks, and because these policies require the compliance program, to be contracted, they force the company to take a management plan based on corporate social responsibility.
