Estudio de los derechos de voto de los socios en las compañías de responsabilidad limitadas en lo referente a las minorías al amparo del derecho societario en el Ecuador

Abstract:

The association right has taken a great importance in the latter years, is like that, since it is fundamental to get up-to-date and to be adapting the procedure to the needs that day after day they are presenting. It is because of it that I have believed suitably to do a complete analysis brings over from the step of opposition to resolutions of general meeting with regard to the minorities in the association area under the protection of the Ecuadoran laws. It is as well as in his development as for the first chapter we have a brief review it tells the history on the companies, that is to say where they are born and how they have evolved across the time, from his root in the civil branch up to turning what nowadays we know as the association right. In the second Chapter we have all the concepts and the generalities while as for the companies of limited responsibility we refer, that is to say centre on a special type of company of between so many people that exist. We know that the topics of minorities are not topics of great discussion, it is because of it that I believe suitably to develop not only this one be afraid but in addition to clarify the space on which it develops, that is to say inside the company of limited responsibility established in the Law of Companies. Later we have the third chapter across which we establish the importance of the vote inside the company of limited responsibility, it is as well as I mention to the types of votes, his force, typical, etc. In addition in this chapter already it is defined specifically to where it wants to come near, this is, to discussing the challenging to the resolutions adopted in general meeting, nevertheless also like explanation it divides to the types of opposition.
